Automated Processing Terms

(including AI-related use)

1. Introduction

These Automated Processing Terms (“Terms”) govern access to and use of Third Party Content through the Iframely Services in connection with automated processing. They apply in addition to the Iframely Terms of Use and should be read together with the Publisher Policy. Capitalized terms not defined herein have the meanings given in the Iframely Terms of Use.

In the event of a conflict between these Terms and the Iframely Terms of Use, these Terms govern solely with respect to Automated Processing. In all other cases, the Iframely Terms of Use continue to apply.

Iframely supports two distinct categories of use:

  1. Preview and Embed Use, where content is retrieved and presented substantially as provided by the publisher; and
  2. Automated Processing, including AI-related use, where content may be analyzed, transformed, or otherwise processed by software systems.

These Terms apply only to Automated Processing. Preview and Embed Use is governed separately and is not expanded or modified by this document.

Automated Processing is governed through designated Processing Interfaces and related technical controls as described in these Terms.

Nothing in these Terms grants rights to use content beyond what is permitted by the publisher, applicable law, or the technical and contractual controls communicated by publishers or with the content.

2. Definitions

For the purposes of these Terms:

“Automated Processing” refers to the access, retrieval, transformation, analysis, or other handling of Third Party Content by software systems operating without direct human review of each individual item. Automated Processing includes processing performed by artificial intelligence or machine learning systems (“AI systems”).

“AI systems” means software systems that use machine learning, statistical models, or similar techniques to perform tasks such as prediction, classification, generation, or transformation of content.

“Preview and Embed Use” means the retrieval and display of Third Party Content or its metadata for the primary purpose of presentation, without material transformation or reuse beyond that presentation.

“Processing Agent”, means the Iframely agent responsible for performing Automated Processing requests, distinct from agents used for Preview and Embed Use (also referred to as the Iframely Processing Agent).

“Preview Interfaces” means the interfaces, endpoints, modes, or agents designated by Iframely for Preview and Embed Use.

“Processing Interfaces” means the interfaces, endpoints, modes, or agents designated by Iframely for Automated Processing.

“Third Party Content” means any content, data, or materials obtained from external sources through the Services, including web pages, media, and associated metadata.

“Publisher Controls” means any permissions, restrictions, or signals provided by content owners or publishers, including robots.txt directives, HTTP headers, metadata, or other machine-readable or contractual terms.

“Training Use” means the use of Third Party Content, in whole or in part, for training, fine-tuning, evaluating, or improving models, or for creating or maintaining datasets used by automated systems, including AI systems.

3. Scope and Applicability

These Terms apply to any access to or use of the Services that involves Automated Processing. Automated Processing is distinct from Preview and Embed Use. In particular, these Terms apply where content is:

  • analyzed, classified, or categorized;
  • transformed, summarized, or otherwise modified;
  • incorporated into system workflows beyond direct presentation; or
  • used within automated systems, including AI systems.

Automated Processing is authorized only through Processing Interfaces.

Use of Preview Interfaces for Automated Processing is prohibited even where similar technical outputs are available through both categories of interface.

Automated Processing may occur in response to a direct user request or as part of application-level functionality, including indexing, enrichment, contextual processing, or Training Use.

All Automated Processing is subject to:

  • the designated Processing Interfaces and related technical requirements;
  • Publisher Controls, which may allow, restrict, or condition access and use; and
  • default Iframely limitations.

For clarity, these Terms do not apply to Preview and Embed Use where content is displayed substantially as provided by the publisher and is not materially transformed or reused.

4. Processing Interfaces and Technical Signals of Intent

Iframely distinguishes between Preview and Embed Use and Automated Processing through designated interfaces, endpoints. Automated Processing is further classified by the declared request mode, use, headers, account configuration, other request-level and related technical signals (“Intent”).

Technical signals of Intent are used by Iframely and Publishers to identify, route, manage, restrict, or enforce the distinctions between Preview Interfaces and Processing Interfaces and to apply different handling rules to different types of access.

Such technical signaling and enforcement mechanisms do not grant additional rights to content, which remain subject to these Terms, applicable Publisher permissions, and applicable law.

5. Permitted Automated Processing

Subject to your compliance with these Terms and the Iframely Terms of Use, Iframely permits use of the Services for Automated Processing solely for the following purposes:

  • assisting a human end-user;
  • indexing, classification, and ranking;
  • semantic enrichment and categorization;
  • contextual grounding and real-time processing;
  • generation of limited summaries, extracts, or representations intended to direct users to, contextualize, or complement the original content rather than substitute for it; and
  • Training Use, subject to the Publisher Policy and any applicable Publisher Controls.

Such use is limited to understanding and representing content within automated systems (including AI systems) and must be directly related to the operation of your application.

Content processed for Automated Processing must not be retained, aggregated, or repurposed beyond what is permitted by Publisher for the applicable use, except as expressly specified for Training Use.

6. Prohibited Uses

Unless explicitly permitted under Section 5 or otherwise authorized by Iframely, you shall not:

  • Use content obtained via the Services for Training Use outside the scope permitted by the Publisher Policy or applicable Publisher Controls;
  • Retain or aggregate content beyond what is necessary for permitted uses;
  • Reproduce, redistribute, or make content available outside your application beyond permitted representations;
  • Remove, obscure, or alter attribution, metadata, or ownership signals;
  • Circumvent access controls, paywalls, or technical restrictions implemented by Publishers;
  • Misrepresent or obscure Intent and the nature of your use of the Services;
  • Use Preview Interfaces for Automated Processing; or
  • Circumvent Processing Interface requirements, publisher restrictions, pricing models, or enforcement mechanisms by routing Automated Processing activity through Preview Interfaces or other interfaces not designated for such use.

Access to content does not by itself grant rights beyond those permitted under these Terms, the Publisher Policy, applicable Publisher Controls, or applicable law.

7. Training Use

Iframely permits Training Use through the Services, subject to these Terms, the Publisher Policy, and applicable Publisher Controls.

Training Use is limited to the content and representations made available for that purpose under the Publisher Policy. Iframely may restrict or expand the scope of content available for Training Use based on Publisher Controls, licensing information, commercial arrangements, or other applicable conditions.

Where additional content or access is made available for Training Use, Iframely may impose additional technical, contractual, pricing, or other conditions.

Any permission or access provided by Iframely does not convey ownership of, or independent rights in, Third Party Content. Any permitted use remains subject to applicable Publisher terms, licenses, restrictions, and applicable law.

You are solely responsible for determining whether you have sufficient rights to use content for Training Use and for complying with all applicable laws and obligations.

8. Publisher Controls and Permissions

You acknowledge that Publishers retain full control over the use of their content and may impose restrictions on automated access or automated processing (including Training Use).

Iframely does not independently verify ownership of content or authority of permissions communicated by Publishers or third-party systems.

Iframely may enforce Publisher-specific policies at its discretion, including restricting or conditioning access to content based on domain, content type, or use case.

Iframely may rely on signals provided by Publishers directly or via third-party infrastructure (including HTTP headers, meta- and structured data, robots directives, access controls, licensing information, or other mechanisms) to determine and enforce such permissions.

Publisher Controls may restrict, permit, or condition Training Use. Iframely may take such signals into account in determining the content and access available for Training Use.

You agree to comply with all Publisher-specific restrictions as implemented by Iframely. Access to content may be modified or revoked at any time in response to Publisher requirements.

Iframely may enforce these restrictions through automated or manual means; however, you remain responsible for ensuring that your use of the Services and any resulting outputs comply with applicable Publisher requirements.

Iframely may expose Publisher content permissions, including permissions relating to Training Use, through standardized signals, APIs, or other mechanisms, including emerging industry standards (such as machine-readable permissions, licensing frameworks, or pay-per-use systems). Iframely acts solely as a technical intermediary and facilitates transfer of technical signals and does not grant any independent rights in content.

9. Data Handling and Retention

You may process content obtained via the Services only to the extent necessary for the permitted use.

Where Training Use is permitted, you may retain and use the content made available for Training Use to the extent permitted by the Publisher Policy, applicable Publisher Controls, and these Terms.

You must not retain or aggregate content beyond the scope permitted for the applicable use.

10. Transparency and Verification

You must accurately represent your use of the Services.

Upon reasonable request, you shall provide information sufficient for Iframely to verify that your use complies with these Terms.

11. No Implied Rights

Iframely acts as a technical intermediary and does not grant ownership of or rights in any Third Party Content.

Except as expressly permitted under these Terms, access to content does not include rights to reuse, redistribute, or incorporate content into datasets or persistent systems.

Machine-readable signals, metadata, or content availability do not by themselves create ownership rights or other independent rights in Third Party Content.

Where Training Use is permitted under these Terms, the permission is limited to the content and use made available through the Services and does not transfer or create content rights.

You remain solely responsible for assessing and complying with applicable Publisher permissions, licenses, and restrictions.

12. Enforcement

Iframely may monitor and enforce compliance with these Terms through technical and operational means; however, such enforcement is not exhaustive and does not relieve you of your responsibility to comply.

Iframely reserves the right to suspend, restrict, or terminate your access where:

  • You breach these Terms or the Iframely Terms of Use;
  • Your use creates legal, operational, or reputational risk;
  • Publisher restrictions cannot be enforced.

Iframely may monitor for accurate intent declaration or misuse thereof, circumvention, inconsistent interface usage, or other technical patterns relevant to enforcement of these Terms.

13. Disclaimer

Content is provided on an “as is” and “as available” basis. Iframely makes no representations or warranties regarding completeness, accuracy, legality, or suitability.

14. Changes to Terms

Iframely may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

15. Relationship to Iframely Terms of Use

These Terms supplement the Iframely Terms of Use. All provisions of the Iframely Terms of Use apply to your use of the Services.
